As the Associate Legal Counsel, Hill's, you will be part of the Colgate-Palmolive Global Legal Organization and will be working in a small, high-performing team in Topeka, Kansas on the pet nutrition business.  As Associate Legal Counsel, you will work with internal clients and external counsel to provide legal advice and solutions-focused guidance to internal business clients, taking meetings with internal clients, developing and presenting recommendations including comprehensive analysis and advice. This role supports the following key areas: Commercial and Supply Agreements, Special Projects (CEB, construction), Intercompany Agreements, Subsidiary Governance, Legal Research, General Legal Advice. 

 

Principal Duties and Responsibilities: 

  • Provide advice to internal business clients on general legal issues including commercial transactions and policies, sales and marketing, antitrust, privacy, employment/labor law matters.        
  • Provide advice to internal business clients regarding the appropriate legal framework and contractual embodiment of that framework for relationships between Hill's and its third party suppliers. Progress matters from initial meeting through advice, contract drafting, negotiation and final conclusion, where possible.
  • Work with Colgate-Palmolive attorneys and/or outside counsel for drafting resolutions and minutes in preparation of Board of Director and Shareholder meetings, following internal corporate governance policies and procedures.
  • Performs general legal activities, including support on litigation matters coordinating internal witnesses and deposition schedules, assisting to draft legal letters and resolve legal matters and undertaking legal research and preparing summaries and advice based on research.

 

Basic required qualifications for the role include:

  • Bachelor’s Degree from an accredited educational institution
  • Juris Doctor (JD) or equivalent legal qualification in a foreign jurisdiction
  • Admission to a U.S. state bar or ability to make an application for admission in Kansas
  • Proficiency in Word, Excel, Google
  • Proven ability to organize, manage and interpret a high volume of legal information
  • Drafting skills

 

Preferred, but not required, qualifications for the role include

  • 3+ years previous work experience in a legal capacity in a corporate law department or law firm working with senior counsel and senior business leaders.

 

Expected Areas of Knowledge, Skills and Abilities:

  • Legal research and proficiency with legal database tools (Pacer, Westlaw, Bloomberg)
  • Proficient in Excel, Word, Powerpoint and knowledge of Google Suite
  • Ability to meet autonomously with internal clients and take instructions on matters including asking critical-thinking and analytical questions on how something is to be set up in order to assess the viability of a proposal and to document it in the appropriate legal agreement, providing guidance and use judgment to escalate as appropriate.  
  • Solutions-oriented mindset with ability to provide recommendations on issues.
  • Ability to progress negotiations with external parties, make decisions in the context of those negotiations
  • Strong drafting skills
  • Demonstrated application of general legal knowledge and concepts relevant to corporate law
