Mergers & Acquisitions Manager
Global Function
This role supports all aspects of Colgate’s global M&A processes, including acquisitions, divestments, strategic partnerships, and development of new business models via alternative structures.
Main Responsabilities:
Deal Expertise: Diligence, Valuation, Execution & Integration
- Perform and report on financial due diligence for acquisitions, divestment, and strategic partnership opportunities
- Develop and articulate the business model drivers and valuation outputs, including validation of the opportunity size, development of a P&L linked to growth and value drivers, and development of discounted cash flow valuation outputs from the model
- Ensure the alignment between the financial model and the functional diligence assessment outputs of the deal (both risks and opportunities)
- Liaise with internal stakeholders and experts (legal, accounting, tax, marketing, sales and supply chain) to facilitate the transaction flow and diligence efforts, including capturing and articulating relevant connections to the financial model
- Assist with managing external partners, including investment banking and consulting teams, throughout diligence process
- Support the Director, M&A to prepare management and Board presentations with progress updates and consistent reporting of deal process, metrics and results
- Post-closing, ensure and facilitate thorough reviews to assess performance and synthesize key learning’s to be used for future opportunity assessments and reported to senior management
- Support various reporting and administrative aspects of the Corporate Development function, such as the following:
- Regular active project reporting to senior management (VP & Treasurer, Group President Global Innovation, CFO, Chief of Staff)
- Peer and industry analysis using tools such as S&P Capital IQ, Bloomberg and Pitchbook
- Archive and organize third party (banker / adviser) materials, thought leadership and other financial reference information for reference and future use.
Stakeholder Management
- Engage with global category and divisional leadership on M&A and commercial partnership strategy in relationship to Colgate’s larger corporate strategy; document the M&A strategy and maintain pipeline of opportunities aligned to that strategy for reference.
- Prepare presentation materials on M&A strategy and active projects review for Colgate’s senior leadership team on a quarterly basis and Board of Directors on an annual basis
- Collect feedback from meetings to be shared with category and divisional stakeholders
- Work with R&D and innovation teams on identifying new technology or other start up engagement opportunities linked with the category M&A strategic focus areas
- Engage with investment banking and consulting partners on sourcing strategic opportunities aligned to the M&A strategic focus areas and category growth priorities
- Source opportunities from startup and venture capital ecosystem.
New Business Models, Analytics & Market Intelligence
- Develop the business modeling for new Horizon 3 innovation and technology opportunities
- Opportunity sizing / assessment, Operating / Management P&L linked to value and growth drivers, and discounted cash flow and valuation modeling of the model outputs
- Perform post-analysis, facilitate thorough reviews to assess performance and synthesize key learning’s to be used for future opportunity assessment
- Research, evaluate and maintain a landscape assessment of new technology opportunities under evaluation, by category
- Compare our investments and strategies with those being followed by our competitors and peers
- Maintain and periodically update the internal valuation of C-P, including comparison with market benchmarks and in support of the global goodwill impairment review requirements
Required Qualifications:
- Bachelor's degree
- 8-10 years of progressive experience, including deal expertise (investment banking, private equity, or transaction/valuation advisory services) and business modeling / valuation experience
Preferred Qualifications:
- MBA, CFA or CPA designation a plus
- Consumer products sector experience a plus
