Colgate-Palmolive Company (“Colgate”) seeks an attorney with subject matter expertise in ERISA, tax employee benefit and compensation matters to coordinate, draft and be responsible for the legal aspects of the retirement (both tax qualified and nonqualified), health and welfare benefits, severance, equity and executive compensation programs maintained by Colgate and its subsidiaries in the United States and around the world. This position will report directly to the Vice President, Associate General Counsel, Corporate and Skin Health, as well as interact directly with Colgate’s senior management. This attorney will be the sole ERISA and tax benefits specialist for Colgate and its subsidiaries, and therefore must have the presence and legal expertise to advise both other team members such as legal, human resources, finance and business teams. 

-  Providing proactive leadership in the compensation and benefits area from a legal perspective to assist Colgate in fulfilling its strategy to provide comprehensive, competitive compensation and benefits in a cost-effective manner;

-  Advising fiduciary committees, Human Resources staff and senior management regarding benefit plan design, fulfillment of fiduciary responsibilities and other pertinent benefits issues relating to tax qualified and non-qualified plans including an ESOP, executive compensation plans, welfare plans, stock-based plans, incentive plans, severance plans, deferred compensation plans and fringe benefit programs;

-  Acting as counsel to the fiduciary committees that administer benefit plans and oversee investment of plan assets, including preparing meeting materials, drafting resolutions, attending meetings, drafting minutes and conducting fiduciary training;

-  Facilitating legal compliance of benefit plan operations, including conducting or looking at periodic internal audits;

-  Assisting in IRS, DOL, and other governmental benefit plan- related filings and inquiries;

-  Providing advice on international benefits (e.g., equity, pensions, expatriates);

-  Drafting plans, plan amendments, related documentation and participant communications;

-  Negotiating contracts with plan service providers and asset managers;

-  Providing tax advice on issues such as withholding and reporting relating to US and international employees’ compensation;

-  Maintaining a timely, strategic overview of developments in ERISA, tax and employee benefits law as it relates to Colgate and its subsidiaries and assisting Colgate and its subsidiaries in proactively responding to changes in law or market conditions;

-  Interfacing with and offering educational support to Colgate’s business units regarding benefits policies, procedures and new initiatives; ;

-  Conducting due diligence and supporting benefits and related aspects of acquisitions and divestitures and company-wide initiatives;

-  Assisting with public company filings, such as the annual proxy statement, and Board meeting materials; and 

-  Handling outside counsel relationships and related budget matters.


-  Law degree from a U.S. law school;

-  Admission to the Bar of at least one state and eligibility for admission to the New York Bar as in-house counsel;

-  Approximately 8-10+ years of relevant legal experience that includes substantial law firm training;

-  Proven working knowledge of tax and ERISA, including fiduciary rules, and other laws that affect benefits and compensation;

-  General familiarity with international laws and regulations.

-  Strong drafting, negotiating and interpersonal skills, including ability to communicate complex topics in an easily understandable manner to non-lawyers;

-  Ability to spot issues proactively and establish procedures to sensitize others to issues/keep others informed of relevant legal developments;

-  Ability to work effectively and efficiently with outside counsel and stay within budget;

-  Ability to work in a matrix environment and to balance priorities;

-  Ability to establish strong relationships with legal colleagues and business partners and work collaboratively; and

-  Ability to understand business objectives and implement them in a legally sound way.
