Job Title : Legal Counsel


Job Summary : 

The Legal Counsel is responsible for providing day-to-day legal support to the business and promoting effective partnership with commercial functions to ensure that business strategies and execution are compliant with laws and regulations, and aligned with Company policies.


Essential Job Functions : 


Legal Marketing 

• Works with Global and Division Legal Marketing in claims and IMC development

• Collaborates with local brand marketing, consumer insights, regulatory and technical teams in claims development

• Reviews marketing claims to maintain fair advertising and ensure compliance with local advertising and regulatory standards

• Works with the agency and cross-functions in the preparation of substantiation documents for ad screening and advertising challenge purposes

• Contests and defends claims in advertising challenges before the Ad Standards Council, Food and Drug Administration and other government bodies

• Drives use of internal legal marketing tools and resources 


Contract review and management

• Prepares and reviews contracts with suppliers, customers and business partners, and reviews inter-company agreements

• Identifies issues and aligns with cross-functional teams on contractual terms and conditions that impact the business or specific functions

• Ensures that mandatory legal provisions are included in contracts 

• Manages the contracts database 


Legal Support and Compliance

• Vets company programs and practices to ensure compliance with local laws and regulations, as well as with global Company policies and processes

• Renders legal opinions and memoranda on questions of law relating to Company practices and business plans & strategies

• Helps develop local policies and materials; proposes resolution measures to bridge gaps, if any

• Drives awareness to the organization and helps ensure compliance with local laws and policies that are relevant to the Company 


Government relations and Legal cases/matters

• Supervises work of external counsel and coordinates with them on legal matters, such as securities matters, labor and litigated cases

• In some instances, represents the Company, prepares corporate communication and coordinates with government agencies and industry-organizations on specific business concerns 

• Collaborates with regulatory on matters affecting the business, such as regulations relevant to cosmetics and household products 


Intellectual Property and Brand Protection

• Ensures timely filing of IP requirements and liaises with global Trademarks team, Brand Protection Unit and external counsel 

• Works on local brand protection against counterfeits and IP infringement

• Coordinates with Intellectual Property Office (IPO), Food and Drug Administration, Department of Trade and Industry, and Bureau of Customs on brand protection measures


Corporate Housekeeping

• Assists in the preparation of board resolutions and Secretary’s Certificates

• Ensures compliance with Company processes in obtaining the necessary approvals for subsidiary actions

• Manages legal records and documents

Education & Experience :


Bachelor's Degree

Minimum 3 years of functional experience
